Under the authority of section 11 of the Executive Council Act and section 33 of the Petroleum and Natural Gas Act, the Lieutenant Governor in Council is pleased to authorize the execution and delivery of the Formal Agreements in respect of the Hibernia Southern Extension Project, including (i) an amendment to the “Hibernia Development Project Royalty Agreement” ("Hibernia Development Project Royalty Agreement Amending Agreement"), (ii) the “Hibernia Development Project EL1093/PL1005 Royalty Agreement”, (iii) the “Hibernia Development Project Allocation Agreement”, (iv) the “Hibernia Southern Extension Amended and Restated Unit Agreement” and (v) the “Hibernia Southern Extension Benefits Agreement” and all ancillary agreements and documents (including but not limited to the “Document and Escrow Closing Agreement”, a Letter agreement waiving certain rights to enable the filing of amended annual reconciliations, a Letter consenting to the use of certain assets for the purposes of processing and storage of petroleum, a Letter consenting to the owning of inconsistent working interest percentages, a Letter waiving the requirement of an assignment and novation agreement under the Hibernia Development Project Workable Arrangements Agreements, a Letter waiving the requirement of an assignment and novation agreement under the Hibernia Development Project Corporate Income Tax Agreement and a Confidentiality Agreement Acknowledgement confirming confidentiality obligations of the Province respecting Newfoundland Transshipment Limited documents) with Nalcor Energy Oil and Gas Inc., ExxonMobil Canada Properties, ExxonMobil Canada Hibernia Company Ltd., ExxonMobil Canada Ltd., Petro-Canada Hibernia Partnership, Suncor Energy Inc., Chevron Canada Resources, Chevron Canada Ltd., Canada Hibernia Holding Corporation, Murphy Atlantic Offshore Oil Company Ltd., Statoil Canada Ltd., substantially in the form on file with the Clerk of the Executive Council, with final authority for such signing to rest with the Premier, the Minister of Natural Resources and other Ministers as appropriate.
